Welcome to Missy Jane Coaching Company ("Company," "we," "our," or "us"). These Terms & Conditions ("Terms") govern your use of www.missyjanecoaching.com, www.thementalhealthchick.com, and any other website, landing page, online platform, or digital service owned or operated by the Company (collectively, the "Website"), as well as your purchase of any coaching services, coaching programs, memberships, courses, workshops, digital products, downloads, templates, educational resources, or other products and services offered by the Company.
These Terms & Conditions apply to all coaching services and educational products offered under the Company's brands, including but not limited to Missy Jane Coaching and The Mental Health Chick.
By accessing any of our Websites or purchasing any product or service from the Company, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, please discontinue use of our Websites and do not purchase our products or services.
1. Eligibility
You must be at least 18 years old to purchase products or services from the Company.
By using our Website, you represent and warrant that you have the legal authority to enter into this agreement.
2. Educational and Informational Services
The Company provides coaching, consulting, educational resources, digital products, memberships, workshops, and training intended to support personal, professional, leadership, and business development.
All information provided through our Websites, coaching programs, memberships, workshops, courses, digital products, templates, downloads, emails, videos, and other materials is for educational and informational purposes only.
Nothing provided by the Company constitutes legal, financial, tax, accounting, medical, or mental health advice.
You are solely responsible for your own decisions, actions, implementation, and results.
3. Coaching Is Not Therapy
Although the owner of the Company is a licensed mental health professional, all services offered through the Company are provided solely in a coaching and educational capacity.
Coaching is not psychotherapy, counseling, diagnosis, treatment of mental illness, crisis intervention, healthcare, or any other licensed clinical service.
Purchasing or participating in coaching services does not establish a therapist-client relationship.
Coaching is intended to help clients clarify goals, improve performance, develop strategies, increase accountability, and support personal or professional growth.
Coaching should never be considered a substitute for psychotherapy, psychiatric care, medical treatment, or emergency mental health services.
If you are experiencing thoughts of harming yourself or others, are in emotional crisis, or require mental health treatment, please immediately contact emergency services or seek assistance from a qualified licensed mental health professional.
4. No Guarantees
The Company makes no guarantees regarding your personal, financial, professional, or business results.
Success depends upon many factors beyond our control, including your commitment, consistency, implementation, background, experience, market conditions, and personal circumstances.
Any testimonials, client stories, examples, or case studies presented on our Websites or within our programs are illustrative only and should not be interpreted as guarantees that you will achieve similar results.
5. Payments
All prices are listed in U.S. Dollars.
Payment is due at the time of purchase unless a payment plan has been specifically offered.
By completing a purchase, you authorize the Company to charge your selected payment method for the agreed purchase amount.
Failure to complete payment may result in suspension or termination of access to products and services.
6. Payment Plans
If you purchase a product or service using a payment plan, you agree to pay the full purchase price according to the agreed payment schedule.
Selecting a payment plan does not create a monthly subscription and does not permit cancellation of the remaining balance.
If any payment becomes past due, the Company reserves the right to suspend access to coaching sessions, courses, memberships, digital products, online communities, bonuses, and all other purchased materials until the account is brought current.
The Company reserves the right to pursue collection of unpaid balances to the fullest extent permitted by law.
7. Refund Policy
Because immediate access is provided to coaching services, proprietary frameworks, educational materials, digital products, templates, recordings, worksheets, workbooks, downloads, and other intellectual property, all sales are final.
Coaching services, coaching programs, consulting services, memberships, workshops, courses, digital products, and downloadable resources are non-refundable.
No refunds, credits, or partial refunds will be provided due to:
Change of mind
Failure to attend coaching sessions
Failure to attend live events
Failure to participate
Failure to complete a program
Scheduling conflicts
Personal circumstances
Business performance
Dissatisfaction with personal results
Failure or unwillingness to implement the information provided
If a specific offer includes a separate written refund policy on its sales page, that policy will govern only that specific offer.
8. Coaching Sessions, Cancellations, and Rescheduling
Individual coaching sessions may be rescheduled with at least twenty-four (24) hours' advance notice.
Sessions canceled with less than twenty-four (24) hours' notice, or missed without notice, may be forfeited at the Company's discretion.
Group coaching sessions, workshops, webinars, and live trainings occur on scheduled dates and cannot be rescheduled for individual participants.
The Company reserves the right to reschedule coaching sessions or live events due to illness, emergencies, or circumstances beyond its reasonable control.
9. Memberships & Communities
Membership and community access remains active only while your subscription is current.
You may cancel your membership at any time before your next billing date to prevent future charges. Cancellation does not entitle you to a refund for any payments already made.
The Company reserves the right to modify membership content, coaching schedules, bonuses, resources, guest experts, community features, and program materials as the membership evolves.
10. Intellectual Property
All content created, published, or distributed by the Company is protected by United States copyright, trademark, and other applicable intellectual property laws.
All materials remain the exclusive property of the Company, including but not limited to:
Coaching programs
Courses
Memberships
Workshops
Videos
Workbooks
Worksheets
Templates
PDFs
Digital downloads
Business systems
Frameworks
Models
AI prompts
Presentations
Graphics
Logos
Website content
Written materials
Emails
Audio recordings
Training materials
Your purchase grants you a limited, revocable, non-exclusive, non-transferable license for your own personal or internal business use only.
You may not:
Copy
Reproduce
Modify
Translate
Republish
Sell
License
Distribute
Upload
Share
Teach
Create derivative works
Claim ownership of
Remove copyright notices from
any Company materials without prior written permission.
Unauthorized use of our intellectual property may result in immediate termination of access and legal action.
11. Artificial Intelligence
Unless expressly authorized in writing by the Company, you may not upload, reproduce, or use our proprietary materials, prompts, frameworks, worksheets, workbooks, presentations, recordings, courses, or other intellectual property to:
Train artificial intelligence systems
Create competing products
Generate derivative commercial works
Redistribute our content
Sell or license AI-generated versions of our materials
You may use AI tools to summarize your own notes from purchased materials for your personal use only, provided that our proprietary content is not redistributed, published, shared, or sold.
12. Community Standards
Participants in coaching programs, memberships, online communities, masterminds, workshops, and live events agree to conduct themselves respectfully and professionally.
The Company reserves the right to remove any participant without refund for behavior including, but not limited to:
Harassment
Bullying
Discrimination
Hate speech
Threatening behavior
Abusive conduct
Repeated disruption
Solicitation of members
Spam
Sharing confidential information belonging to other participants
Violation of these Terms
Removal from any program or community does not release the participant from any remaining payment obligations under a payment plan.
13. Confidentiality
The Company is committed to respecting your privacy. Any personal information shared during coaching sessions will be treated with care.
However, because coaching is not therapy and group coaching involves multiple participants, the Company cannot guarantee the confidentiality of information shared by other participants.
Participants agree to respect the privacy of fellow members and refrain from sharing confidential information discussed within coaching groups or communities.
14. Recording Consent
The Company may record coaching calls, webinars, workshops, trainings, and group coaching sessions.
By participating, you consent to the recording of your voice, comments, questions, and image if you choose to participate verbally or by video.
These recordings may be used for replay access, educational purposes, internal training, future programs, or promotional excerpts unless prohibited by law.
If you prefer not to appear in recordings, you may choose to keep your camera off and refrain from speaking during recorded sessions.
15. Business Opportunity Disclaimer
The Company does not sell business opportunities, franchises, or guaranteed income programs.
We make no representations or guarantees regarding:
Income
Revenue
Client acquisition
Business growth
Financial success
Career advancement
Personal transformation
Your success depends upon numerous factors, including your effort, consistency, implementation, experience, market conditions, and circumstances beyond the Company's control.
16. Chargebacks
If you have concerns regarding your purchase, you agree to contact the Company before initiating a chargeback or payment dispute.
Filing a chargeback while continuing to access purchased products or services may constitute a violation of these Terms.
The Company reserves the right to:
Suspend access to all purchased products and services
Terminate your participation in programs
Recover unpaid balances
Recover reasonable collection costs and attorney's fees where permitted by law
17. Third-Party Services
Our Websites may contain links to third-party websites, software, payment processors, social media platforms, or other resources.
The Company is not responsible for the content, availability, policies, privacy practices, products, or services provided by third parties.
Your use of third-party services is solely at your own risk and subject to the terms and policies of those third parties.
18. Limitation of Liability
To the fullest extent permitted by applicable law, the Company, its owner, employees, contractors, affiliates, agents, licensors, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Websites, participation in coaching services, purchase of products, or reliance on any information provided by the Company.
This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise.
The Company's total liability for any claim arising out of or relating to these Terms or any product or service purchased from the Company shall not exceed the amount you paid for the specific product or service giving rise to the claim.
19. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its owner, employees, contractors, affiliates, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or attorney's fees arising out of or related to:
Your use of the Websites;
Your participation in any coaching program or service;
Your violation of these Terms & Conditions;
Your infringement of any intellectual property or other rights of another person or entity; or
Your negligent, fraudulent, or unlawful conduct.
20. Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, pandemics, epidemics, war, terrorism, labor disputes, internet outages, utility failures, governmental actions, technology failures, cyberattacks, illness, or other unforeseen events.
If such an event occurs, the Company reserves the right to reschedule services, modify delivery methods, or extend performance timelines as reasonably necessary.
21. Privacy
Your use of the Websites is also governed by the Company's Privacy Policy, which is incorporated into these Terms by reference.
By using the Websites, you acknowledge that you have read and understand the Privacy Policy.
22. Entire Agreement
These Terms & Conditions, together with the Company's Privacy Policy, Disclaimer, and any Coaching Agreement or other written agreement applicable to your purchase, constitute the entire agreement between you and the Company regarding your use of the Websites and your purchase of products or services.
These documents supersede all prior communications, understandings, negotiations, and agreements, whether oral or written, relating to the same subject matter.
23. Electronic Acceptance
By accessing the Websites, checking an agreement box, enrolling in a coaching program, completing a purchase, or otherwise using the Company's products or services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
Electronic acceptance shall have the same legal force and effect as a handwritten signature.
24. Changes to These Terms
The Company reserves the right to modify or update these Terms & Conditions at any time.
Any revisions will become effective immediately upon posting to the Websites unless otherwise stated.
Your continued use of the Websites or participation in the Company's products or services after changes are posted constitutes your acceptance of the revised Terms.
25. Governing Law and Venue
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms, the Websites, or any product or service provided by the Company shall be brought exclusively in the state or federal courts located in the State of Indiana.
You consent to the personal jurisdiction and venue of those courts.
26. Severability
If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
27. Waiver
The failure of the Company to enforce any provision of these Terms & Conditions shall not constitute a waiver of that provision or of any other provision.
Any waiver must be in writing and signed by an authorized representative of the Company.
